The rules, written
so you can read them.
No hidden clauses and no wall of capital letters. If a term does not work for your organization, tell us before you sign rather than after.

These terms cover accounts and organizations, what you may and may not do with the platform, who owns the data inside it, how plans and billing work, and what happens when an agreement ends.

The agreement
These terms govern your organization's use of DenwaysHR, operated by Denways Technologies LLP. By signing up for an account, starting a trial or using the platform, the organization accepts them.
Where your organization has signed a separate written agreement with us, that agreement takes precedence wherever the two conflict.
The person who accepts these terms on behalf of an organization confirms they are authorized to bind it.
What the service is
DenwaysHR is a multi-tenant software platform covering the employee lifecycle: HR records, attendance and time office, leave, payroll, performance, recruitment and related modules, delivered through a web application and companion desktop and browser applications, and mobile applications once they are released.
Which modules are available to your organization depends on the plan it holds. Modules such as payroll, recruitment, workforce monitoring, custom roles, the AI assistant, white-label branding and advanced reporting are enabled by the plan rather than being present on every account.
We develop the platform continuously. Features are added and improved over time, and we will not remove a material capability your plan depends on without telling account administrators first.
Accounts and organizations
Each customer organization holds its own isolated account. Your organization is responsible for the accuracy of the information in its account, for configuring roles and permissions appropriately, and for the actions taken by its users.
Credentials must be kept confidential. Tell us promptly if you believe an account has been compromised, so we can help you respond.
Administrators can create roles and permission groups. Deciding who inside your organization may view salaries, run payroll or export data is your organization's decision, and the platform will enforce whatever you configure.
Acceptable use
The platform must be used lawfully and for its intended purpose: managing your own workforce.
- Do not upload content you have no right to hold, or use the platform to process data unlawfully
- Do not attempt to access another organization's data, probe the platform's security boundaries, or interfere with its operation
- Do not resell or provide the platform to a third party unless we have agreed to it in writing
- Do not use the optional monitoring module without giving affected staff the notice and consent your local law requires
- Do not upload malicious files or attempt to bypass the scanning applied to uploads
Your data stays yours
Your organization owns the data it puts into DenwaysHR. We claim no ownership of it, and we do not use it to train models or for any purpose beyond running the service for you.
You grant us the limited rights needed to host, process, back up and transmit that data in order to deliver the platform, and to act on the instructions your administrators give through it.
Our handling of personal data inside your account, and the split between what you control and what we control, is set out in the privacy policy.
Plans, trials and billing
Plans are tiered subscriptions. Pricing is quoted per organization against headcount, the modules enabled and the number of branches, rather than published as a single list price.
Organizations can sign up and start a trial directly. At the end of a trial, continued use requires a paid plan.
Fees are payable in advance for the billing period agreed. Moving up a plan enables the additional modules on the same account; moving down may disable modules and the data they hold will stop being accessible through those features.
Unless your written agreement says otherwise, fees already paid are not refundable for a period that has begun.
Availability and support
We run the production system with error and uptime monitoring, encrypted automated backups and periodic restore testing, and an automated test suite covering authentication, tenant isolation, payroll and permission logic runs before every release.
We do not promise uninterrupted availability in these general terms. Planned maintenance is scheduled to minimise disruption, and organizations with a specific uptime requirement should agree it with us in writing.
Support is provided at the level your plan includes.
Confidentiality
Each side will protect the other's confidential information and use it only for the purposes of this agreement. That obligation survives the end of the agreement.
It does not apply to information that is already public, was already known without a duty of confidence, or must be disclosed by law.
Intellectual property
The platform, its software, design and documentation remain the property of Denways Technologies LLP. These terms grant your organization a right to use the service, not a transfer of ownership.
Feedback and suggestions you send us may be used to improve the product without obligation to you, and doing so gives us no rights over your data.
Term and termination
The agreement runs for as long as your organization holds an active account. Either side may end it in line with the notice period agreed, and we may suspend an account that is being used in breach of these terms or in a way that endangers the platform or other customers.
On termination, we will make your data available for export or return for a reasonable period, then delete it, subject to any retention your organization is legally required to observe. Encrypted backups age out on their own schedule.
Disclaimers and liability
DenwaysHR helps your organization run payroll and meet statutory obligations, but responsibility for compliance with employment, tax and wage protection law rests with your organization. Verify statutory outputs before you submit them.
To the extent the law allows, the platform is provided without warranties beyond those stated here, and neither side is liable for indirect or consequential loss. Our total liability is limited to the fees paid in the twelve months before the claim arose.
Nothing here limits liability that cannot lawfully be limited.
Changes to these terms
We may update these terms as the product and the law change. Account administrators will be notified of material changes, and the date at the top of this page reflects the current version. Continued use after a change takes effect means the updated terms apply.
Governing law
These terms are governed by the laws of [jurisdiction to be confirmed], and the courts of that jurisdiction have exclusive authority over any dispute arising from them.
